terms and disclaimer:


 GENERAL

All rights reserved.
All copyrights and other intellectual property rights in the SSA OnePoint
Diagnostics software (hereinafter referred to as the OnePoint Diagnostics
Application) are owned by SSA Global Technologies, Inc. (hereinafter referred
to as SSA Global) or others and all rights are reserved. None of the contents
of OnePoint Diagnostics Application may be reproduced in any material form,
whether by copying or storage in any medium by electronic means, and whether
or not transiently or incidentally to some other use of the OnePoint
Diagnostics Application, except as permitted in accordance with the License
Terms.

Agreement.
By making use of the OnePoint Diagnostics Application, you (hereinafter
referred to as the User) agree with SSA Global or SSA Global's authorized
(sub)licensor to be bound by the License Terms, in respect of the use of the
OnePoint Diagnostics Application. The License Terms are governed by the laws
of the Netherlands, the competent court at Utrecht having jurisdiction. The
license may be revoked by SSA Global or SSA Global's authorized (sub)licensor
immediately up on giving written notice if the User is in breach of any of
these terms.

 LICENSE TERMS

License.
SSA Global's authorized (sub)licensor grants to the User a non-exclusive
license to use this version of the OnePoint Diagnostics Application, pursuant
to which the User may (1) store or install one copy of the OnePoint
Diagnostics Application on a single computer, (2) use the OnePoint
Diagnostics Application for purposes consistent with the purpose of the
OnePoint Diagnostics Application within the User's own organization and
(3) make a single back-up copy solely for archival purpose. Unless authorized
in writing by SSA Global or SSA Global's authorized (sub)licensor, the User
may not (1) copy any contents of the OnePoint Diagnostics Application to a
hard disk or other permanent electronic storage device (other than to the
extent that this necessarily occurs when receiving the OnePoint Diagnostics
Application by e-mail or installing the OnePoint Diagnostics Application on
the single computer upon which its use is permitted) (2) permit access to any
contents of the OnePoint Diagnostics Application from any computer network
(whether internal or external), including the Internet, or by any person
outside the User's organization (3) copy or reproduce the OnePoint
Diagnostics Application or any of its contents in material form (except the
back-up copy) (4) lend, lease, rent out, hire or transfer the OnePoint
Diagnostics Application to any third party (5) assign, sub-license or
otherwise dispose of the rights under these license terms and (6) reverse
engineer, decompile or disassemble the OnePoint Diagnostics Application
(except and only to the extent that such is permitted by laws).

Disclaimer.
To the fullest extent allowed by law, the OnePoint Diagnostics Application is
licensed to User "as is" without any express or implied warranties of any
kind. Specifically there shall be no warranty regarding the performance or
results the User may obtain by using the OnePoint Diagnostics Application,
merchantability or fitness for any particular purpose. There shall be no
liability for any losses or damages whatsoever, whether due to negligence or
otherwise,including without limitation special, indirect or consequential
losses, damages for loss of business, lost profits, business interruption or
other financial losses suffered by the User or any other party, arising from
the use of or reliance upon the OnePoint Diagnostics Application.
